Abstract The following are general guidelines (“Co-operation Framework”) for the cooperative effort between the Open Mobile Alliance Ltd. (“Open Mobile Alliance”) and Internet Engineering Task Force (“IETF”). 1. Definitions a. “Work Areas” mean the agreed work areas as set forth in Exhibit A attached hereto and incorporated herein, as modified from time to time by mutual decision of the parties. b. “Contact Persons” mean the persons as set forth in Exhibit B, attached hereto and incorporated herein, as may be modified from time to time by either party through notice to the other party. c. “Contributions” mean any work, whether pre-existing or newly created or prepared within a Work Area under the auspices of the Host Organization, as defined below, which may be encumbered by Intellectual Property Rights (“IPR”), as defined below. d. “Host Organization” means, in each particular instance, whichever of either the Open Mobile Alliance or the IETF under whose auspices (including its rules and procedures) work product within a defined Work Area is being developed. e. “Documents” mean copies of working documents and drafts within the Work Areas as defined above, the method of access to which is set forth in Exhibit C, attached hereto and incorporated herein, as may be modified from time to time by either party through notice to the other party. The terms of this Co-operation Framework will apply to all documents exchanged even if accessed in a manner other than as set forth in Exhibit C. f. “Intellectual Property Rights (“IPR”)” mean the patents and pending patent applications, copyrights covering software or firmware, and mask works on integrated circuit mask sets, whether in existence now or created, invented or developed in the future. g. “Specification” means a document, in any form or media including but not limited to paper or an electronic file, containing a set of detailed technical specifications as specifically defined by the organization that produced the same. 2. Introduction This document contains a set of principles and guidelines that serves as the basis for establishing the collaboration between the Open Mobile Alliance and IETF, with the objective of securing timely development of technical specification that facilitates maximum interoperability with existing (fixed and mobile) Internet systems, devices, and protocols. Each organization will operate according to their own rules and procedures including rules governing IPR, specification elaboration, approval and maintenance. The IETF and the Open Mobile Alliance are cooperating with a mutual desire to support the integrity of specifications and standards developed by each body. The preferred approach is that the Open Mobile Alliance uses the Internet standards unchanged, if feasible, and communicate requirements for change into IETF as needed. The parties intend to work together in an effort to avoid duplication of work. IETF terms used in this document are defined in RFC 2026. Notification of new work to be undertaken by the IETF is to be via a nominated IETF liaison notification mechanism. 3. Basis of Collaboration In the further development of the Open Mobile Alliance specifications, the benefit of adopting Internet specifications has been identified. However, while this document recognizes the importance of the Open Mobile Alliance interoperability with the existing Internet and hence the use of IETF standards, the Open Mobile Alliance recognizes that additions or modifications might be needed in order to make the IETF Internet specifications fulfill the needs of the Open Mobile Alliance. In such cases, the Open Mobile Alliance will take its concerns directly to the appropriate IETF working groups for resolution. Where there is no appropriate working group, when it is not known where to direct the communication, or in the case of resolution of consequent matters, the matter will be raised through the IETF’s designated liaison to the Open Mobile Alliance. The IETF may also need to ask questions of the Open Mobile Alliance in order to refine its understanding of the Open Mobile Alliance requirements, and may wish to offer guidance to the Open Mobile Alliance on the effective use of Internet specifications. Where possible, these communications will occur in the context of an established relationship between the Open Mobile Alliance and an IETF working group. In the event that no such relationship is deemed appropriate for the desired communication, the matter should be raised through the IETF's designated liaison to the Open Mobile Alliance. Currently within the Open Mobile Alliance, specific activities are undertaken through the Open Mobile Alliance working groups, each with their area of responsibilities. These activities are authorized, and their output is approved by the Open Mobile Alliance Technical Plenary. The list of the Open Mobile Alliance working groups, the Open Mobile Alliance specifications for public comment, the Open Mobile Alliance Work program and publicly available working group drafts may be found at the Open Mobile Alliance Web site http://www.openmobilealliance.org. 4. Document Sharing Both the Open Mobile Alliance and IETF encourage the sharing of draft documents that are of mutual interest. All IETF Documents are publicly available from the IETF Web site, and/or mailing lists, working group supplemental web sites, and shadows or archives of those lists and sites. The Open Mobile Alliance Documents intended for public consumption are made publicly available on the Open Mobile Alliance Web site as soon as the working groups determine it is suitable; this may be from the initial draft and once public all subsequent updates to that version. Technical contributions to the Open Mobile Alliance work by its members are also encouraged to be publicly available. The Open Mobile Alliance and IETF will work to update and exchange on a regular basis a list of dependencies between each organization’s specifications and work in progress. 5. Participation in the IETF Process Participation in the IETF process is completely open. This allows the Open Mobile Alliance delegates to participate as-needed in IETF meetings and mailing lists discussions to assist IETF in refining its understanding of the Open Mobile Alliance requirements and in meeting those requirements. This close working relationship also offers an excellent opportunity for the Open Mobile Alliance delegates to receive informal guidance from IETF on the Open Mobile Alliance’s use of Internet specifications. The vast majority of the technical discussions and decision making at IETF is done over open mailing lists. It is recommended that interested individuals subscribe to and participate in these lists. The Open Mobile Alliance mailing lists, however, are not open to the general public. It is recommended that work of mutual interest be discussed on the relevant IETF mailing lists. 6. Designated Liaisons Under certain circumstances, a more formal relationship between the Open Mobile Alliance and IETF may be required. This is especially useful in cases where the informal working relationship has not yet matured, and participants in either organization need to know whom to ask for help in establishing more direct communications. The Open Mobile Alliance and IETF shall each establish liaison functions for communication with the other organization, and shall appoint one or more individuals to those functions. 6.1 Open Mobile Alliance Liaison to IETF The Open Mobile Alliance Technical Plenary shall appoint a liaison officer to be the initial contact point in the Open Mobile Alliance for matters pertaining to the Open Mobile Alliance-IETF co-operation. The Open Mobile Alliance-IETF liaison officer , therefore, is expected to work with the concerned IETF and Open Mobile Alliance working groups and support the interaction between the Open Mobile Alliance and IETF. 6.1.1 IETF Liason to OMA The preferred way for organizations to work with IETF is through the working groups. However, IETF has a limited number of individual liaison roles with other organizations when conditions warrant the appointment of a specific person. The Internet Architecture Board(“IAB”) shall appoint a specific person to serve as the IETF liaison officer with the Open Mobile Alliance . The role of the IETF Liaison officer with the Open Mobile Alliance liaison is to act as an initial contact point in IETF for administrative aspects of this collaboration that may not easily be handled in other ways (e.g., at a technical level by interactions with IETF working groups or area directors). It is agreed that the role does not carry the expectation of attendance at the Open Mobile Alliance meetings or participation in the Open Mobile Alliance administrative processes. It is anticipated that all liaison efforts assigned to this individual will be carried out by electronic mail. It is understood that the liaison will not have the ability to make exceptions to, or special provisions for, IETF policies and procedures. It is expected that the individual appointed to this role would: o be informed by the Open Mobile Alliance of the Open Mobile Alliance activities on behalf of the IETF (OMA question : would this mean “of interest to the IETF) , including new work proposals, and be able to report regularly to the IAB on such activities; o convey liaisons statements from the Open Mobile Alliance to the IETF, and be responsible for shepherding the Open Mobile Alliance communication to the relevant parts of IETF, o report to the Open Mobile Alliance on progress with IETF consideration of the Open Mobile Alliance liaison statements, and o have direct access to the Open Mobile Alliance technical leadership as well as direct access to the IAB and IETF area directors, as required. The Open Mobile Alliance meetings are normally open only to delegates from the Open Mobile Alliance member organizations. In order to assist the information flow between the organizations, IETF may by prior written invitation from the Open Mobile Alliance on per case basis appoint a special liaison to participate in and represent IETF at the Open Mobile Alliance Technical Plenary and working group meetings under conditions set forth by the Open Mobile Alliance. 6.2 Formal Liaison Statements Whenever possible, and as the preferred primary method of communication and coordination of activity, communication at working group level is strongly encouraged. When deemed necessary, formal communication between the Open Mobile Alliance and IETF is also permitted. Such communications are to be recorded in the form of liaison statements, and the IETF will use the Open Mobile Alliance liaison role to convey such statements between the IETF and the Open Mobile Alliance. All liaison statements made by IETF or directed to IETF, shall be published by IETF as a public document. All liaison statements made by IETF will comply with the IETF IPR policy as documented in RFC 2026. 6.3 Contributions Contributions may be made to the Open Mobile Alliance by members of IETF who are also members of the Open Mobile Alliance only in their capacity as Open Mobile Alliance member(s) under the Open Mobile Alliance membership rules, including its IPR policy. Contributions may be made to IETF by members of the Open Mobile Alliance only in their capacity as IETF participant(s), under the IETF membership rules, including its IPR policy. The Open Mobile Alliance may make normative references to the IETF Internet Standards specifications that are published as part of the “Request for Comments” (RFC) document series. 6.4 Copyright of Materials The parties do not intend to co-develop any materials. In the event that the parties co-develop any materials, then the parties agree that they will have joint payment free copyright ownership of such materials and will enter into a copyright permission agreement at that time. The chairperson of a technical body/group of one of the parties may agree to incorporate text and/or graphics provided by the other party where the copyright in such text or graphics are solely owned by that other party and with the consent of the Host Organization into a published document. 6.5 Confidential Information It is the intent of the parties that no confidential information will be disclosed. 6.6 Term of Use This Co-operation Framework is offered to guide cooperative efforts between the parties, and should be put into use in as much as it is applicable to the cooperative efforts. In the event that either party finds the Co-operation Framework inapplicable, then the party may notify the other party so that the Co-operation Framework may be modified or withdrawn. 6.7 Limitation of Liability Neither party makes any representations with respect to and does not warrant the accuracy of any information or any document. Without limiting the foregoing, each party agrees to accept the terms of and reproduce any warranty disclaimers or limitations of liability which are included in any material made available to it under this Co-operation Framework. 6.8 General a. This Co-operation Framework supersedes all prior discussions and constitutes the entire Co-operation Framework between the parties with respect to the subject matter hereof. b. Neither party acquires any intellectual or industrial property rights under this Co-operation Framework or through any disclosure hereunder except where expressly stated in this Co-operation Framework. No license to any patent, trade mark, copyright or other proprietary right is granted under this Co-operation Framework or through any disclosure hereunder except where expressly stated in this Co-operation Framework. c. Nothing contained herein shall be deemed to obligate either party to incorporate the materials presented by the other party. d. It is expressly declared that this Co-operation Framework and the relationships between the parties established hereby does not constitute a partnership, joint venture, agency, or contract of employment between them. e. Each party may disclose publicly the existence of this Co-operation Framework, provided that neither party will publicly disclose the terms of this Co-operation Framework without obtaining the prior written consent of the other party. For example, each party may indicate, without the need of prior written consent from the other party, the name of the other party in a public list of liaison partners.
